TERMS OF USE Thank you for visiting the Puerto Rico Science, Technology and Research Trust website (“the Trust”). Agreement with these Terms of Use are a condition to access and use the Trust website and govern: (1) the information of the Trust made available through the website; (2) the Trust’s use of your information gathered by it through the website; and (3) your use of the website, related systems, and the Information (collectively, the “Site”). By accessing any portion of the Site, you are indicating that you have read and understood, and that you assent to be bound by these Terms of Use, which may be amended from time to time by the Trust as provided herein. If you do not agree to these Terms of Use, you are not permitted to access the Site. 1.0 PRIVACY POLICY1.1 The Trust may provide links to web pages that are not part of the prsciencetrust.org domain. The Trust provides links to these sites merely as a convenience and the presence of these links is not an endorsement of these sites. These sites are managed by third parties and not under the Trust’s control. Therefore, the Trust is not responsible for the information you may find on these sites or for the information collection practices of any third party websites to which the Site hyperlinks. 1.2 When you use the Site, which may be hosted in part or its entirety by a third party, the Site will collect certain information indirectly and automatically (through, for example, the use of “cookies” or your “IP address”) about your activities for statistical purposes (the “Activity Information”). This information never identifies who you are. For example, we may count the number of visitors to the different pages of the Site to help make them more useful to visitors. Similar information is gathered for anonymous ftp, remote account login or for other comparable types of connections. The Trust uses this Activity Information for internal purposes only except as required by law or if pertinent to judicial or governmental investigations or proceedings. 1.3 The Site is designed so that you may generally browse it without providing any personally identifiable information (“PII”), however, cookie technology may be implemented at some Site pages. If you do not wish to have persistent cookies stored on your machine, you can turn them off in your browser, though it may impact the functioning of some Sites pages. In addition, certain areas of the Site may require or allow the voluntarily submission of PII. For example, the Trust may offer online registration for a variety of events or the Trust may provide through the Site questionnaires, feedback forms or other similar means to enables us to determine visitors' interests, with the goal of providing better service to our users. The Trust uses such information for the purposes for which it was submitted by you to the Trust. Any payment information that might be provided to the Trust is guarded using secure protocols such as SSL (Secure Socket Layer) / digital IDs which protect the information transferred between the browser and your Web server. 1.4 The Trust will make every effort so that private information you have given us, whether stored in cookies (persistent) or elsewhere, is not shared with third parties that have no right to that information. The Trust, however, may share your PII with certain third parties performing services for or on behalf of the Trust. Such services may include communications, database, event management, hosting, mailing, and marketing services. While the Trust has implemented and follows appropriate technical measures to protect against the risks of unauthorized access to, erroneous disclosure of, and unlawful interception of your PII, you should know, however, that the Trust cannot fully eliminate such risks. 1.5 By sending us an electronic mail (e-mail) message, you may be sending us PPI such as your name, address, and e-mail address. We may store your name, address and e-mail address of the requester in order to respond to your request or otherwise resolve the subject matter of the e-mail. Remember that e-mail is not necessarily secure against interception. Sensitive communications (such as social security numbers) should not be sent to the Trust by email so please consider using more secured means. 2.0 NO UNLAWFUL OR PROHIBITED USE2.1 It is a condition for the use of the Site that you will not use it for any purpose that is unlawful or prohibited by applicable law, and these Terms of Use. Without limiting the foregoing, you will not use the Site in connection with (a) the infringement of intellectual property rights of any Site user or the Trust’s; (b) the unauthorized transmission of unsolicited commercial electronic mail; (c) the transmission of defamatory materials; or (d) fraud. 2.2 You may not use the Site in any manner, which could damage, disable, overburden, or impair the Site or interfere with any other party's use and enjoyment of it. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Site. 3.0 USE OF COMMUNICATION SERVICES3.1 The Site may contain bulletin board services, chat areas, news groups, forums, communities, personal web pages, calendars, and/or other message or communication facilities designed to enable you to communicate with the public at large or with a group (collectively, "Communication Services"). You agree to use the Communication Services only to post, send and receive messages and material that are proper and related to the particular Communication Service. Materials uploaded to a Communication Service may be subject to posted limitations on usage, reproduction and/or dissemination. You are responsible for adhering to such limitations if you download the materials. Managers and hosts are not authorized Trust’s spokespersons and their views do not necessarily reflect the views of The Trust. 3.2 The Trust has no obligation to monitor the Communication Services. However, The Trust reserves the right to review materials posted to a Communication Service and to remove any materials in its sole discretion. 3.3 The Trust reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in The Trust's sole discretion. Always use caution when giving out any PII in any Communication Service. The Trust does not control or endorse the content, messages or information found in any Communication Service and, therefore, the Trust specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation in any Communication Service. 3.4 The Trust reserves the right to terminate your access to any or all of the Communication Services at any time without notice for any reason whatsoever. 4.0 MATERIALS PROVIDED TO THE TRUST OR POSTED AT ANY TRUST WEB SITE4.1 The Trust does not claim ownership of the materials you provide to it (including feedback and suggestions) or post, upload, input or submit to the Site or its associated services (collectively "Submissions"). By posting, uploading, inputting, providing or submitting your Submission, however, you are granting the Trust, its affiliated companies and necessary sub-licensees permission to use your Submission in connection with the operation of their Internet businesses including, without limitation, the rights to: copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your Submission; and to publish your name in connection with your Submission. No compensation will be paid with respect to the use of your Submission, as provided herein. The Trust is under no obligation to post or use any Submission you may provide and may remove any Submission at any time in The Trust's sole discretion. By posting, uploading, inputting, providing or submitting your Submission you warrant and represent that you own or otherwise control all of the rights to your Submission as described in this section including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the Submissions. 5.0 DISCLAIMERS5.1 THE SITE IS PROVIDED TO YOU "AS IS" WITHOUT WARRANTY OR CONDITION OF ANY KIND. YOUR ACCESS AND USE OF THE SITE IS AT YOUR OWN RISK. THE TRUST AND/OR ITS SUPPLIERS DISCLAIMS ALL CONDITIONS, REPRESENTATIONS AND WARRANTIES, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY OF INFORMATIONAL CONTENT, SYSTEM INTEGRATION, NON-INFRINGEMENT OF THIRD PARTY RIGHTS, QUIET ENJOYMENT, AND UNINTERRUPTED OR ERROR FREE OPERATION. 5.2 THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. THE TRUST AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN SITE AT ANY TIME. ADVICE RECEIVED VIA THE SITE SHOULD NOT BE RELIED UPON FOR PERSONAL, MEDICAL, LEGAL OR FINANCIAL DECISIONS AND YOU SHOULD CONSULT AN APPROPRIATE PROFESSIONAL FOR SPECIFIC ADVICE TAILORED TO YOUR SITUATION. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE TRUST AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF SITE, WITH THE DELAY OR INABILITY TO USE THE SITE OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE SITE, OR OTHERWISE ARISING OUT OF THE USE OF THE SITE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF THE TRUST OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. 5.3 The Trust reserves the right, in its sole discretion, to terminate your access to the Trust Web Site and the related services or any portion thereof at any time, without notice. 6.0 COPYRIGHT AND TRADEMARK NOTICES6.1 All contents of the Site are, including those of the Trust and/or its suppliers protected by United States and international copyright laws. All rights are reserved. Subject to these Terms of Use, the Trust grants to you a limited, nonexclusive, personal license to access, view, download and print the Information solely for noncommercial and informational purposes. You may not modify the information contained in the Site in any way and you may not remove or obscure any copyright or permission notices provided on or in connection with the information provided in the Site. 6.2 No materials contained on the Site may otherwise be copied, modified, published, broadcast, or otherwise distributed without the prior written permission of the Trust. Any reproduction permitted under these Terms of Use must contain notice of the Trust copyright as follows: "Copyright © Puerto Rico Science, Technology & Research Trust 2008, [year of copyright]. All rights reserved”. Notifications of claimed copyright infringement under United States copyright law should be sent to Thomas F. Farb, the Trust’s Designated Agent. 6.3 The names of actual companies and products mentioned herein may be the trademarks of their respective owners. By using the Site, the Trust is not granting to you any rights in its marks or the trade marks of others. 7.0 JURISDICTON7.1 You agree that any dispute arising out of or in connection with the Site or these Terms of Use will be governed by the laws of the Commonwealth of Puerto Rico without reference to conflict of laws that would require the application of the laws of any other jurisdiction, and you submit to the exclusive jurisdiction and venue of the Commonwealth of Puerto Rico’s Court of First Instance, San Juan Part, located in San Juan, Puerto Rico. Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms and Conditions, including without limitation this paragraph. 8.0 MISCELLANEOUS8.1 You agree that no joint venture, partnership, employment, or agency relationship exists between you and the Trust as a result of this agreement or use of the Site. The Trust's performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of the Trust's right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by The Trust with respect to such use. 8.2 If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and the Trust with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and the Trust with respect to the Site.
